The Johannesburg Stock Exchange will remove Tongaat Hulett from its list on 3 November 2026, the South African sugar group announced on Monday 12 October. Shareholders will receive no payment in connection with the delisting, which management and the business rescue officers have agreed not to contest.
The shares have been suspended from trading since 20 July 2022, due to the failure to publish annual results. The final delisting comes as the company remains unable to produce reliable audited accounts and as its rescue plan provides for the sale of its assets and businesses.
Holders will keep unlisted shares in the form of certificates, with the register administered by Computershare Investor Services. They must receive a statement of their holdings by 12 November at the latest. After the delisting, any transfer must be reported to this agent so the register can be updated.
The company warns that no residual value or future distribution is expected for shareholders at the end of the rescue. This outlook stems from the plan adopted by creditors, which provides for the sale of the group's assets and businesses.
The delisting does not end proceedings concerning the operating companies. The plan for Tongaat Hulett Developments continues separately, as do the rescue proceedings for Tongaat Hulett Sugar South Africa and Voermol Feeds.
After its withdrawal from the market, Tongaat Hulett will no longer publish its information on the SENS regulatory news service, except for any announcement still required by the exchange. Monthly notices and reports on the rescue will remain published on the company's website.
